These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. You agree that any legal action or proceeding between The Gilded Spoon and you for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in King County, Washington.
Any dispute arising out of or relating to these Terms, the use of the Site, or the services provided by The Gilded Spoon shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Seattle, Washington. The arbitrator's decision shall be final and binding on both parties. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
